    Abstract: 經歷金融海嘯之後,投資人的風險承受度降低,造成複雜衍生性商品的銷售逐漸減少,再加上各國財政金融監管機關訂定法規也趨於嚴謹,這一連串的改變讓金融機構的營運雪上加霜。
    個案公司近幾年來,因客戶規模未能有效地擴展,營運瓶頸難以突破,並且面對內在財務數字始終不佳,對外又面臨產業高度激烈競爭,以及預期公司未來的成長仍然有限的情況下,必須採取併購戰略模式,才能改善並且突破現有之僵局,以確保公司長期營運及經營績效。本研究主要目的有二,首先,個案公司併購戰略帶來哪些效益? 其二,個案公司現階段要如何提升併購綜效?

    ;After the financial crisis, sale of complex derivative products have been decreasing due to lower tolerance of risk from investors. In additional, many countries’ authorities have imposed more regulations on financial industry. These series of changes have brought negative effect on operation of financial institutions.
    The case company has been facing several challenges in recently years. In order to strengthen her competitive position, the company used mergers and acquisition strategy. The purpose of this case study is twofold: First, how does merger and acquisition (M & A) strategy benefit the company? Secondly, how to increase the efficiency of merger and acquisition strategy for the case company?
    This study uses 8-cross business model to analyze the current operating model, the influence of external environment change, and uses the 8-cross SWOT to figure out the way of increasing synergy of the merger and acquisition strategy.
    The case result turns out to be complementary with the original business model Merger and acquisition strategy could be benefited from expanding the size of professional sales team in a short period of time and increasing the size of customers of Hong Kong and China by reducing the expense of related insurance products. Both overall operating size and operating income could be stronger than before the M & A transaction. And after the M & A transaction, the company is steady to increase high-net-worth customers. Besides, the efficiency of business groups could be maximized by establishing cross-selling customers.
