| dc.description.abstract | 企業為併購來取得所需之資源，透過併購快速的進行公司轉型之方針，以併購方式取得技術來源、設備資源、銷售通路與市場擴展，進而影響整體企業之營運與發展，企業併購營運發展的目的是產生經營績效與效益。
本研究主要以併購個案公司之經營績效進行分析，企業進行併購的動機方向，會影響哪些經營績效與指標，所產生的效益可以透過償債能力之分析、經營績效指標之分析、盈利能力指標之分析以及併購後對股價的影響而探討。
本研究結果亦發現，透過有效益目的併購之方式，可以有效改善公司的營運體質，使償債能力獲得提升，以及透過併購提升業務能力與服務品質，並能使公司的盈利能力與獲利能力不斷上升之展現，同時影響到公開市場上投資者對企業的未來展望與發展，進而影響股票市場上之股票價值。 | zh_TW |
| dc.description.abstract | The enterprise obtain required resources and approach rapid enterprise transformation through mergers. Through the merger, the enterprise can obtains technical resources, equipment, marketing channel, and expand the market share. Furthermore, a success merge influencing the operation and development of the enterprise. The purpose of the merger is to produce operation performance and benefits.
To analyze the motivation of the enterprise merger, this research used the operation performance of the merger cases to analyze the intention of the enterprise to start a merger. The motivations of the mergers could influence the operation performances and indicators.
Therefore, benefits of the merger could be discussed through the indicator of solvency, the indicator of operation performance, the indicator of profitability and the impact of stock market price after the merger as well.
This research finds out the beneficial purpose merger could efficiently improve the operational infrastructure and enhance the solvency of the enterprise. An effective merger could enhance the business capacity, improve the service quality and heighten the profitability of the enterprise. In addition, an effective merger could influence the public market investors′ expectations of the enterprise and impact the stock price. | en_US |
