    Title: 外資進入對本國問題銀行之影響;The influence of foreign financial institutions investing in mismanaged banks

    Abstract: 本研究從國內銀行業的現況出發,試著找出近幾年來國內銀行業所面臨的狀況及國內對於經營不善銀行的處理方式,並探討外資機構入股台灣金融機構的各種方式,及其在台灣的經營績效。 外資機構進入台灣金融市場的角色可分為私募基金以及外資金融機構,本研究整理外資金融機構在併購前的經營績效,認為外資銀行在台灣的經營績效普遍優於本國銀行,若能引入外資銀行入主問題銀行將可能改善營運績效,而在公司治理機制方面,問題銀行在爆發財務危機前的董監持股比率及董監質押比率明顯異於正常銀行,顯示此兩指標為良好的財務危機的判斷指標 This study focuses on the status quo of Taiwan’s banking industry by identifying the situation facing banks on the island in recent years and find out how mismanaged banks can be dealt with. Moreover, it discusses the various ways of foreign investors investing in Taiwanese financial institutions and their operating performance. There are two principal types of organizations through which foreign investors get access to the Taiwanese financial market, namely privately raised funds and foreign financial institutions. After analyzing the operating performance of foreign financial institutions before acquisition, this study finds that foreign banks generally outperform local banks and that foreign investment can improve problem banks’ operating performance. In respect of corporate governance, before a financial crisis breaks out, a problem bank’s director and supervisor holding ratio and director and supervisor pledge ratio are noticeably different from normal banks. This suggests that these two figures may serve as determining indicators for financial crises.
