Abstract:	本論文之研究主題為公開發行公司經營模式，以公司理論為出發點，希望利用經濟理論討論成立公司的理由，由瞭解公司成立原因進而討論公開發行公司應由何者擁有經營權，又其經營目的為何，並進一步探討台灣目前擴大股東權，賦予股東提案權與董監事提案權的利弊得失，瞭解是否賦予股東直接的控制權真可以導正經營者的不法行為。本論文共分六章，第一章說明本論文之研究動機、目的、方法及研究限制。第二章從探討公司本質和理論瞭解形成公司的理由，第三章則由經營方式及經營目的之角度，探討公開發行公司之各式經營模式，並於第四章分析各經營模式的利弊得失。第五章則利用前述分析各經營模式探討台灣公開發行公司之經營模式，進一步分析台灣公開發行公司背後之治理問題，分析擴大股東權之迷失與弊端。最後一章提出本文的結論與建議，期望在瞭解公開發行公司的治理問題後，提出解決建議之道。 The purpose of this study is to explore the model of the corporation. By understanding the theory of the firm, this study discusses who owns the authority of the public corporation, as well as the residual claimant. Furthermore, we could explore the advantage and disadvantage of expanding the shareholder rights through the analysis of corporation model and understand whether the empowering the shareholder right could be the correction method of authority illegal behavior.
