本研究旨在探討不同產業間,不同的併購規模、不同的併購類型與併購後的整合管理之間,真正影響併購綜效之關鍵成功因素與關鍵失敗因素。選擇四家不同的個案公司進行研究,從併購背景、動機、策略及併購後的整合管理,歸納整理出影響併購綜效的關鍵成功因素與關鍵失敗因素,提供作為企業日後進行併購活動時的參考。 經由本研究發現影響併購績效的關鍵成功因素有九項,可能的關鍵成功因素有三項,關鍵失敗因素有六項。 ;The purpose of this research is to investigate the key success factors (KSF) and key failure factors (KFF) to the real synergy among different industry, different M&A (mergers & acquisitions) scale, different M&A category and integration management after M&A four different individual cases are selected to investigate the real synergy from the background, motivation, strategies and integration management to generalize and sum up the KSF and KFF which is to be as the reference for enterprises to proceed M & A in future. To affect the real synergy through this investigation is come out by 9 KSFs, 3 possible KSFs and 6 KFFs.
