在知識經濟的現代社會中,企業常透過併購活動,取得技術與資產,進而增進企業本身的研發能力,本研究使用 Ahuja and Katila (2001) 的研究方法,對台灣2002年至2014年的併購活動進行研究,研究樣本包含94間台灣電子業公司,共有138件併購事件,探討併購活動對併購後的專利數量與專利品質的影響。
結果發現非技術性併購對併購後的專利數量有負向的影響,對專利品質則無顯著的影響力。目標公司的知識品質對併購後的專利數量及專利品質皆有正向的影響,目標公司的知識相對規模對併購後的專利數量及專利品質皆有負向的影響,最後雙方的技術相關性與併購後的專利數量和專利品質皆為一個倒U字型的非線性關係。 ;In a knowledge-based economy, companies often acquire technology and assets through M&A activities, thereby enhancing their own R&D capabilities. This study uses the research method of Ahuja and Katila (2001) to analyze Taiwan’s M&A activities from 2002 to 2014. Conducted a research, the research sample included 94 Taiwan electronics companies, a total of 138 mergers and acquisitions, to explore the impact of M&A on the quantity and quality of patents after M&A.
It was found that non-technical M&A had a negative impact on the quantity of patents after M&A, but had no significant influence on the quality of patents. The knowledge quality of the acquired company has a positive impact on the quantity of patents and patent quality after M&A. The relative size of the acquired company′s knowledge has a negative impact on the quantity of patents and the quality of patents after M&A. In the end, the technical relevance of both parties have a non-linear U-shaped relationship on the quantity of patents and the quality of patents after M&A
